(1) On August 13, 2024, the reporting person indirectly held 20,762 shares of MOS common stock (the "Shares") in a grantor retained annuity trust for the benefit of himself and his family ("2022 GRAT"). On that date, the Shares were distributed by 2022 GRAT to the reporting person in satisfaction of an annuity to the reporting person.
