DEREGISTRATION OF SECURITIES

 

Mueller Industries, Inc. (the “Registrant”) is filing this Post-Effective Amendment No. 1 (this “Post-Effective Amendment”) to the following Registration Statement on Form S-8 (the “Prior Registration Statement”) filed by the Registrant with the Securities and Exchange Commission in respect of shares of its common stock, par value $0.01 per share (“Common Stock”).  The share amount listed below is the number originally presented in the Prior Registration Statement, and does not reflect any stock splits that occurred following the filing of the Prior Registration Statement.

•	File No. 333-52325 filed with the SEC on May 11, 1998 registering the offer and sale of 300,000 shares of Common Stock issuable pursuant to the Mueller Industries, Inc. 1998 Stock Option Plan (the “1998 Plan”);

As of the date hereof, the Registrant is no longer issuing securities under the 1998 Plan.  This Post-Effective Amendment to the Prior Registration Statements is being filed in order to deregister all shares of Common Stock that were registered under the Prior Registration Statement and that have not been and will not be issued under the 1998 Plan.
