The stock option vests and becomes exercisable ratably in three equal installments with the first installment vesting on the date of the first Annual General Meeting ("AGM") following the date of the grant, and with the second and third installments vesting, respectively, on the dates of the second and third AGM's following the date of the grant, subject to the non-employee director's continued service with the Issuer.
