EXPLANATORY NOTE

NETGEAR, Inc. (the “Registrant”) is filing this Registration Statement with the Securities and Exchange Commission (the “Commission”) to register 2,000,000 additional shares of its common stock under its 2016 Equity Incentive Plan, as amended (the “Plan”). In accordance with the instructional note to Part I of Form S-8 as promulgated by the Commission, the information specified by Part I of the Form S-8 has been omitted from this Registration Statement.

The Registration Statement is being filed for the purpose of increasing the number of securities of the same class as other securities for which Registration Statements on Form S-8 of the Registrant relating to the same employee benefit plans set forth herein are effective. Pursuant to General Instruction E of Form S-8, the contents of the Registration Statements on Form S-8 filed with the Commission on June 3, 2016 (File No. 333-211795), May 31, 2018 (File No. 333-225327), February 22, 2019 (File No. 333-229784), and July 31, 2020 (File No. 333-240238) are hereby incorporated by reference in this Registration Statement.
