(1) | The issuer's director compensation policy provides for an award to the reporting person immediately following the issuers 2022 annual meeting of stockholders of common stock having a market value of $108,000. In connection with the award by the Compensation committee on May 24, 2022, the reporting person waived the award of 72 shares of common stock, resulting in an award of 100 shares rather than 172 shares that he would have received absent such waiver. |
