Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

This Current Report on Form 8-K/A amends certain information included in a Current Report on Form 8-K filed by Physicians Realty Trust (the “Company”) on February 23, 2022 regarding the appointment of Ava E. Lias-Booker as a trustee of the Board of Trustees of the Company effective March 1, 2022. The Board of Trustees did not appoint Ms. Lias-Booker to serve on any of its committees at the time of her appointment. On May 2, 2022, the Board of Trustees appointed Ms. Lias-Booker to serve on the Nominating and Corporate Governance Committee and the Compensation Committee, which became effective as of her election at the Company’s 2022 Annual Meeting of Shareholders.
