Item 8.01Other Events.

 

On September 16, 2021, Great Western Bancorp, Inc., a Delaware corporation (“GWB”), and First Interstate BancSystem, Inc., a Montana corporation (“FIBK”), issued a joint press release announcing the execution of an Agreement and Plan of Merger, dated as of September 15, 2021 (the “Merger Agreement”), by and between GWB and FIBK, pursuant to which, upon the terms and subject to the conditions set forth therein, GWB will merge with and into FIBK, with FIBK continuing as the surviving entity. A copy of the joint press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.

 

In connection with the announcement of the Merger Agreement, GWB and FIBK intend to provide supplemental information regarding the proposed transaction in presentations to analysts and investors. The slides that will be made available in connection with the presentations are attached hereto as Exhibit 99.2 and are incorporated by reference herein.
