Item 7.01 Regulation F-D Disclosure.

On September 13, 2021, Monmouth Real Estate Investment Corporation (“Monmouth”), a Maryland corporation, issued a press release announcing steps it is taking in response to recent investor feedback and prior indications of interest. A copy of the press release is attached hereto as Exhibit 99.1 to this Current Report on Form 8-K and incorporated by reference herein.
