Item 7.01.    Regulation FD Disclosure.
On September 7, 2021, State Street Corporation made available a slide presentation providing highlights of State Street's proposed acquisition of Brown Brothers Harriman's Investor Services business, which is being made available in connection with a September 7, 2021 investor conference call. A copy of that slide presentation is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.
Item 8.01.    Other Events.
On September 7, 2021, State Street Corporation and Brown Brothers Harriman & Co. (BBH) announced that they have entered into a definitive agreement for State Street to acquire BBH’s Investor Services business, including its custody, accounting, fund administration, global markets and technology services, for $3.5 billion in cash. The parties are targeting year-end 2021 to complete the acquisition, subject to regulatory approvals and customary closing conditions. State Street expects the transaction will be primarily financed through the issuance of common equity, the suspension of common share repurchases before resuming in the second quarter of 2022, and cash on hand.
