Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 31, 2021, Baiju R. Shah informed the Board of Directors (the “Board”) of Invacare Corporation (the “Company”) of his decision to resign as a director of the Company, effective September 3, 2021. Mr. Shah’s decision to resign is due to his other personal and new professional obligations and not due to any disagreement with the Company.

Following Mr. Shah’s resignation, on September 3, 2021, the Board reduced the size of the Board to nine members and appointed Marc M. Gibeley to succeed Mr. Shah as Chair of the Company’s Compensation and Management Development Committee.
