Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On August 18, 2021, the Compensation Committee of the Board of Directors of Strategic Education, Inc. (the “Company”) approved a new equity grant for Andrew Watt, President of U.S. Higher Education, who was a named executive officer in the Company’s last filed proxy statement. The award is valued at $1,000,000, with the number of shares granted based on the closing price of the Company’s stock on August 18, 2021, and vests in its entirety on the fourth anniversary of the grant.
