Item 8.01 Other Events

 

As previously announced, on June 15, 2021, Elanco Animal Health Incorporated, an Indiana corporation (“Elanco”), entered into an Agreement and Plan of Merger (as it may be amended from time to time in accordance with its terms, including by the First Amendment, dated June 30, 2021, the “Merger Agreement”) with Kindred Biosciences, Inc., a Delaware corporation (“KindredBio”), and Knight Merger Sub, Inc., a Delaware corporation and a wholly owned subsidiary of Elanco (“Merger Sub”), pursuant to which, subject to the terms and conditions set forth in the Merger Agreement, Merger Sub will merge with and into KindredBio (the “Merger”), with KindredBio surviving the Merger and becoming a wholly owned subsidiary of Elanco.

 

The Merger is subject to the satisfaction or waiver of certain closing conditions including, among other things, the expiration or termination of the applicable waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Waiting Period”). The HSR Waiting Period expired on July 30, 2021 at 11:59 p.m. Eastern Time.

 

Subject to obtaining KindredBio stockholder approval and the satisfaction of other closing conditions to the Merger, Elanco currently expects to complete the Merger later in the current quarter.
