Item 2.02.Results of Operations and Financial Condition.

On July 29, 2021, Haynes International, Inc. (the “Company”) issued a press release announcing results for the third quarter of fiscal year ended June 30, 2021. The full text of the press release is furnished as exhibit 99.1 to this Form 8-K and is incorporated herein by reference.

Item 7.01.Regulation FD Disclosure

On July 28, 2021, the Board of Directors approved a quarterly cash dividend of $0.22 per outstanding share of the Company’s common stock.  The dividend is payable September 15, 2021 to stockholders of record at the close of business on September 1, 2021.  The dividend cash pay-out based on the current shares outstanding is expected to be approximately $2.8 million per quarter, or approximately $11.1 million on an annualized basis.
