Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As previously announced, effective June 25, 2021, Donald W. Slager retired from his position as Chief Executive Officer of Republic Services, Inc., a Delaware corporation (the "Company"), and Jon Vander Ark became the Company's Chief Executive Officer.

On June 25, 2021, the Board of Directors (the "Board") of the Company elected Mr. Vander Ark to serve on the Board, effective July 1, 2021. Mr. Vander Ark will not be a member of any Board committees and Mr. Vander Ark will not receive any additional compensation for his position as a director.

There is no arrangement or understanding between Mr. Vander Ark and any other persons pursuant to which he was selected as a director. Mr. Vander Ark has no direct or indirect material interest in any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K.
