Item 8.01. Other Events.
On June 25, 2021, Sitka Holdings, LLC, a wholly-owned subsidiary of Ambac Financial Group, Inc. (the “Company”) priced its offering of $1,175 million aggregate principal amount of its LIBOR plus 4.5% Floating Rate Senior Secured Notes due 2026 (the “Senior Secured Notes”). The Senior Secured Notes will be issued at a price equal to 99% of their face value. The Senior Secured Notes pay interest quarterly and mature on July 6, 2026. The offering is expected to close on July 6, 2021, subject to market and other customary conditions.
