Item 5.02.     Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On June 22, 2021, Kurt R. Weise notified MidWestOne Financial Group, Inc. (the “Company”) of his decision to resign as a member of the Company’s board of directors and as a member of the board of directors of MidWestOne Bank, the Company’s wholly owned subsidiary, effective immediately. Mr. Weise’s resignation was not a result of a disagreement with the Company on any matter relating to the Company’s operations, policies or practices. Mr. Weise became a director of the Company upon completion of the Company's merger with Central Bancshares, Inc. (“Central”) on May 1, 2015. He had been a director of Central since 1988. Mr. Weise has been a valued presence on the Company’s board of directors, and the Company thanks him for his service.

Item 8.01.    Other Events.
On June 22, 2021, the board of directors of the Company approved a new share repurchase program, allowing for the repurchase of up to $15.0 million of the Company's common stock through December 31, 2023. The shares may, at the discretion of management, be repurchased from time to time in open market purchases as market conditions warrant, including pursuant to a Rule 10b5-1 plan, all as effected to the extent permitted by applicable law, including pursuant to the safe harbor provided under Rule 10b-18 of the Securities Exchange Act of 1934, as amended. The Company is not obligated to purchase any shares under the program, and the program may be discontinued at any time. The actual timing, number and share price of shares purchased under the repurchase program will be determined by the Company at its discretion and will depend on a number of factors, including the market price of the Company's stock, general market and economic conditions and applicable legal requirements. The new repurchase program replaces the Company’s prior repurchase program, pursuant to which the Company had repurchased 297,158 shares of common stock for approximately $7.95 million since the plan was announced on August 20, 2019 and through June 22, 2021. The prior program had authorized the repurchase of up to $10.0 million of common stock and was due to expire December 31, 2021.
