Committee Assignments

 

On June 16, 2021, the Board of Directors of Iridex Corporation (the Company) modified the composition of its Audit Committee, Compensation Committee, and Nominating and Governance Committee to consist of the following directors:

 

 

Audit Committee:  Kenneth E. Ludlum (Chair), Nandini Devi, and Scott Shuda

 

Compensation Committee: Scott Shuda (Chair), Robert Grove, Ph.D., and Nandini Devi

 

Nominating and Governance Committee: Kenneth E. Ludlum (Chair), Robert Grove, Ph.D., and Scott Shuda

 

Chair of the Board

 

On June 16, 2021, the Board of Directors of the Company appointed Scott Shuda as its Chairman.

 

Item 5.07. Submission of Matters to a Vote of Security Holders.

The 2021 Annual Meeting of Stockholders (the Annual Meeting) of the Company was held on June 16, 2021, at the Company’s headquarters located at 1212 Terra Bella Avenue, Mountain View, CA 94043. As of April 19, 2021, the record date of the Annual Meeting, 15,625,662 shares of the Company’s common stock were outstanding and entitled to vote at the Annual Meeting. Present at the Annual Meeting in person or by proxy were holders of 10,955,832 shares, or 70%, of the Companys common stock, constituting a quorum for the transaction of business. The proposals voted upon at the meeting and the vote with respect to each such matter are as set forth below:
