This prospectus supplement relates to the offer and sale, from time to time, of up to 5,929,125 shares of Match Group, Inc. (“Match Group”) Common Stock, par value $0.001 (“Match Group Common Stock”), by the selling stockholders named in this prospectus supplement (the “Selling Stockholders”). We are not offering any shares of Match Group Common Stock under this prospectus supplement and will not receive any proceeds from the sale of shares of Match Group Common Stock offered by the Selling Stockholders. The Selling Stockholders acquired the shares of Match Group Common Stock in connection with our acquisition of Hyperconnect, Inc., which closed on June 16, 2021. Pursuant to the purchase agreement, we had the option to issue shares of Match Group Common Stock to the Selling Stockholders as partial consideration for the acquisition. We are registering the offer and sale of the shares that we issued as partial consideration to satisfy registration rights we granted to the Selling Stockholders.
While Match Group will not receive any of the proceeds from the sale of shares of Match Group Common Stock offered by the Selling Stockholders, Match Group has agreed to pay certain expenses relating to the registration of such shares. Information Reporting and Backup Withholding

FATCA
Provisions of the Code commonly referred to as “FATCA” require withholding of 30% on payments of dividends on our common stock to “foreign financial institutions” ​(which is broadly defined for this purpose and in general includes investment vehicles) and certain other non-U.S. entities unless various U.S. information reporting and due diligence requirements (generally relating to ownership by U.S. persons of interests in or accounts with those entities) have been satisfied, or an exemption applies. An intergovernmental agreement between the United States and an applicable foreign country may modify these requirements.
