Item 5.08    Shareholder Director Nominations

The annual general meeting of the holders of Class A common shares (the “Shareholders”) of Athene Holding Ltd. ( the “Company,” “our,” or “we”) will be held on August 31, 2021 at 9:00 a.m. Eastern Time. In light of public health concerns regarding the coronavirus (COVID-19) outbreak, we will be hosting a completely virtual annual general meeting, which will be conducted solely online via live webcast. There is no physical location for the annual general meeting. Only Shareholders of record, as shown by the Register of Shareholders and the records of Computershare and the Company at the close of business on July 14, 2021 (the “Record Date”) are entitled to receive notice, and only those Shareholders as of the Record Date are entitled to vote at the annual general meeting.

Under our Bye-laws, because the date of the 2021 annual general meeting is more than 30 days after the one-year anniversary of the 2020 Annual General Meeting, in order to be timely, a Shareholder’s notice of a proposal not intended for inclusion in our proxy statement for the 2021 annual general meeting must be received by the secretary at the registered office of the Company not later than the later of (x) the close of business 90 days prior to the date of such annual general meeting and (y) if the first public announcement of the date of such advanced or delayed annual general meeting is less than 100 days prior to such date, 10 days following the date of the first public announcement of the annual general meeting date. Because the annual general meeting will be held on August 31, 2021, the deadline for receipt of any such proposal is the close of business on June 25, 2021. In no event shall the public announcement of an adjournment or postponement of an annual general meeting, or such adjournment or postponement, commence a new time period or otherwise extend any time period for the giving of a shareholder’s notice as described herein.

We expect to hold our special general meeting of Shareholders to consider the merger transaction announced on March 8, 2021 with Apollo Global Management, Inc. (“Apollo”) and Tango Holdings, Inc. (the “Merger”) and related matters during the fourth quarter of 2021 following Apollo’s special meeting of stockholders. The Company believes the parties have been making good progress on integration planning and structuring for post-closing financial efficiencies and that the Merger remains on track to close in early January 2022 after satisfaction of customary conditions including regulatory and shareholder approvals.

This document is being made in respect of the proposed transaction involving Tango Holdings, Inc. (“HoldCo”), Apollo, and the Company. The proposed transaction will be submitted to the stockholders of Apollo and the shareholders of the Company for their respective consideration.
