Item 7.01     Regulation FD Disclosure.
On June 7, 2021, Regions Bank, the principal banking subsidiary of Regions Financial Corporation, entered into an agreement to acquire EnerBank USA, a Utah industrial bank. The transaction is expected to close in the fourth quarter of 2021, subject to bank regulatory approval and other customary closing conditions.
A press release and an investor presentation related to the acquisition are attached to this Form 8-K as Exhibits 99.1 and 99.2, respectively, and are incorporated herein by reference.
