Subject: Merger update – Operating Model and EMT

Ladies and gentlemen,

As you are aware, we have been working hard to identify the operating model for the new Expro. We have reviewed the organization structure of both companies in detail and selected elements from each to create a true best-of-breed operating model with a strong focus on scalability and efficiency.

Through this combination, we will bring together two companies with decades of market leadership to create a leading full-cycle service provider that is positioned for long-term growth, success and value creation.

We strongly believe that a balanced matrix structure is the optimum operating model to leverage our strengths.

The operations element of new Expro will consist of four regions that will partner with four product line groups.

The organization will continue to focus on delivering the safest and highest quality product and service delivery and to further advance our business through an acute focus on technology development, digitalization and sustainability.

To support this, we will create a Portfolio Advancement capability committed to the strategic development of our products and services portfolio with a specific focus on cross product line solutions such as Well Abandonment, energy transition and digitalization. This ensures that we are highly relevant and aligned to the needs of our clients and the evolving market by both adding new capabilities and identifying and developing solutions across our product line groups.

With the confirmation of the operating model for the new Expro, I am able to announce the combined company’s complete Executive Management Team (EMT), who will lead and drive our future success.

Firstly, I would like to welcome, Karen David-Green who has recently been appointed as Chief Communications and Stakeholder Officer. She is responsible for investor relations, stakeholder engagement and will be involved in further developing the company’s Environment, Social and Governance (ESG) strategy.

Karen joins us from Weatherford where she served as Senior Vice President of Stakeholder Engagement and Chief Marketing Officer with responsibility for leading the company’s strategic communications, public affairs and brand. Prior to joining Weatherford, she spent her early career as a financial expert in the energy industry on Wall Street.

Alistair Geddes will serve as Chief Operating Officer (COO). In addition to overseeing our four regions, Alistair will also have responsibility for Business Development and Sales, QHSE & Competency Assurance and Asset Management.

Steve Russell will serve as Chief Technology Officer (CTO) responsible for the four product line groups in addition to Engineering, Supply Chain and Intellectual Property.

As advised above, we will be developing a new team, Portfolio Advancement, which will be led by Nigel Lakey.

As we work to combine Frank’s and Expro our focus remains on developing a structure that capitalizes on our complementary portfolios, deep technical expertise and geographic footprint to be an even stronger and innovative technology partner to our customers around the world.

I would like to reiterate that we are still working through the integration planning details and we are committed to keeping you up to date as we create a larger, stronger, and more diversified global organization.

Mike Jardon

CEO, Expro
