As previously disclosed, on February 24, 2021, ICON plc, a public limited company in Ireland (“ICON”), ICON US Holdings Inc., a Delaware corporation and subsidiary of ICON (“US HoldCo”), and Indigo Merger Sub, Inc., a Delaware corporation and subsidiary of ICON and US HoldCo (“Merger Subsidiary”) entered into an Agreement and Plan of Merger (the “Merger Agreement”) with PRA Health Sciences, Inc., a Delaware corporation (“PRA”). Upon the terms and subject to the conditions of the Merger Agreement, Merger Subsidiary will merge with and into PRA (the “Merger”), with PRA surviving as a subsidiary of ICON and US HoldCo.

The completion of the Merger is conditioned upon, among other things, the approval of the Merger having been granted by the French Ministry of Economy and Finance and the Austrian Federal Ministry for Digital and Economic Affairs, in each case relating to the consummation of the Merger.  These approvals have been obtained, and we have now obtained all regulatory approvals that are conditions to the closing of the Merger.

The completion of the Merger remains subject to other customary closing conditions, including the adoption of the Merger Agreement by PRA’s stockholders and the approval by ICON’s shareholders of the issuance of ICON ordinary shares in the Merger. ICON expects the merger to close on July 1, 2021.
