Item 8.01.  Other Events.

On June 1, 2021, Old National Bancorp (“Old National”) and First Midwest Bancorp, Inc. (“First Midwest”) issued a joint press release announcing the execution of an Agreement and Plan of Merger, dated as of May 30, 2021, by and between Old National and First Midwest pursuant to which, upon the terms and subject to the conditions set forth therein, First Midwest and Old National will merge, with Old National continuing as the surviving entity. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.

In addition, Old National and First Midwest provided supplemental information regarding the proposed transaction in connection with presentations to analysts and investors. A copy of the investor presentation is attached as Exhibit 99.2 to this Current Report on Form 8-K and is incorporated herein by reference.
