Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 14, 2021, Gary D. Benz, Senior Vice President, Strategy, elected to retire effective August 1, 2021, and he and FirstEnergy Corp. (“FirstEnergy” or the “Company”) entered into a Voluntary Retirement Agreement (the “Agreement”) pursuant to which the Company will provide Mr. Benz with certain enhanced retirement benefits, as further described in the Agreement (the “Retirement Benefits”). Mr. Benz’s receipt of the Retirement Benefits is conditioned on his timely execution and non-revocation of the Agreement, continued active service until August 1, 2021 (the “Retirement Date”) and his timely execution and non-revocation of a release of claims in favor of the Company and its affiliates to be signed in connection with his Retirement Date.

Under the Agreement, Mr. Benz will receive the following as Retirement Benefits: (i) a lump sum cash payment of $1.1 million, less applicable taxes, withholdings and deductions; (ii) a subsidized taxable continuation of health care benefits for a period of up to 18 months, estimated in value to be approximately $26,000; (iii) a temporary monthly pension enhancement of $1,500 up to age 65, less applicable taxes, withholding and deductions (total of approximately $52,500); and (iv) a lump sum cash payment for any unused and deferred paid time off, less applicable taxes, withholding and deductions.

Amounts paid and benefits provided under the Agreement will continue to be subject to the terms of the Company’s current clawback policy to the extent such policy would apply to the Retirement Benefits. Under the Agreement, Mr. Benz will be subject to certain restrictive covenants, including perpetual confidentiality and non-disparagement covenants (subject to certain exceptions) and a one-year non-solicitation covenant, and he must be available under certain conditions to provide assistance to the Company in certain Company matters, as further described in the Agreement. Additionally, as is the case for executive officers who retire from the Company, Mr. Benz is also eligible to receive certain other retirement benefits, generally described in the Company’s most recent definitive proxy statement filed with the Securities and Exchange Commission. These other retirement benefits generally include amounts and payments under the FirstEnergy Corp. Pension Plan and the Company’s Executive Deferred Compensation Plan, a prorated award for 2021 under the Company’s Short-Term Incentive Program, certain prorated performance-based equity awards under the Company’s Long-Term Incentive Program, and the value of Mr. Benz’s unused banked and frozen vacation at the time of the Retirement Date.
