Item 8.01 Other Events.

On May 17, 2021, Atkore Inc. (the “Company”) issued a press release announcing the commencement of the offering of $400 million aggregate principal amount of its senior notes. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

Additionally, on May 18, 2021, the Company issued a press release announcing the pricing of $400 million aggregate principal amount of 4.25% Senior Notes due 2031 (the “Notes”) in a private offering that is exempt from the registration requirements of the Securities Act of 1933, as amended. The Notes will be the Company’s general senior unsecured obligations and will be guaranteed by each of the Company’s existing and future subsidiaries that are borrowers under or that guarantee its asset-based revolving credit facility and term loan facility. The closing of the sale of the Notes is scheduled for May 26, 2021, subject to customary closing conditions. A copy of the press release is attached hereto as Exhibit 99.2 and is incorporated herein by reference.
