Explanation of Responses:
1. The Reporting Person made a prior election to sell only the number of shares of common stock necessary to cover applicable tax withholding obligations realized upon the vesting of restricted stock units, as well as any related brokerage commission fees.
2. The shares were sold at prices ranging from $57.21 to $58.17. The reporting person will provide upon request to the SEC, the issuer or security holder of the issuer, full information regarding the number of shares sold at each separate price.
3. The shares were sold at prices ranging from $58.22 to $58.60. The reporting person will provide upon request to the SEC, the issuer or security holder of the issuer, full information regarding the number of shares sold at each separate price.
4. The shares were sold at prices ranging from $59.80 to $59.89. The reporting person will provide upon request to the SEC, the issuer or security holder of the issuer, full information regarding the number of shares sold at each separate price.
5. Represents Restricted Stock Units ("RSUs"). 25% of the total shares subject to the RSUs shall vest on the one year anniversary of February 15, 2020, and 1/16 of the shares subject to the Option shall vest each calendar quarter thereafter over 36 months, subject to the Reporting Person's Continuous Service (as defined in the 2014 Equity Incentive Plan) on such vesting date.
6. Represents Restricted Stock Units ("RSUs"). The RSUs vest in equal quarterly installments from February 15, 2021 (the "2021 Vesting Start Date") until the fourth anniversary of the 2021 Vesting Start Date, in each case subject to the Reporting Person's Continuous Service (as defined in the 2014 Equity Incentive Plan) on such vesting date.
