TODAY’S DEAL WITH WARNERMEDIA

To: All employees

A few moments ago, we announced our intent to merge WarnerMedia with Discovery to create a premier standalone entertainment company. You can read more about the deal in our public announcement [LINK].

I want to share with you why this deal makes sense for AT&T today, why we continue restructuring our assets and why it’s also significant for you. Quite simply, we believe this is the right move for us and our shareholders. This deal can unlock shareholder value in our media company, while doing 2 other things.

First, it will give us the financial flexibility to address the growing demand for connectivity and be one of the best capitalized broadband (5G, Fiber) companies. You’ll note that with today’s news, we’re announcing plans to cover 200 million people in the U.S. by year-end 2023 with our 5G C-band network and more than double our current Fiber footprint to cover 30 million customer locations.

Second, it puts together 2 entertainment leaders in WarnerMedia and Discovery with complementary content strengths and positions that new company at scale to be one of the leading global direct-to-consumer streaming platforms.

At close, this deal aligns these businesses into 2 independent companies to attract the best investor base for each company. For those of you who hold AT&T stock, you will retain your stake in our leading communications company that comes with an attractive dividend. Plus, you will get a stake in the new company, a global media leader that can build one of the top streaming platforms in the world.

I know this is a lot of news to digest. My ask of you is to stay focused on the business at hand. Let’s continue to show that momentum to the market.
