ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS
On May 12, 2021, the Board of Directors (“Board”) of Danaher Corporation (“Danaher”) increased the size of Danaher’s Board from twelve to thirteen members and appointed A. Shane Sanders to the Board to fill the newly-created vacancy, with a term expiring at Danaher’s 2022 annual meeting of shareholders. Mr. Sanders was also appointed to the Audit Committee of the Board. As a non-employee director, Mr. Sanders will receive the same compensation paid to the other non-employee directors of Danaher as disclosed in Exhibit 10.26 to Danaher’s Annual Report on Form 10-K for the year ended December 31, 2020 (which exhibit is incorporated by reference herein) including without limitation an annual equity award. Mr. Sanders has also entered into a director indemnification agreement with Danaher, the form of which is disclosed as Exhibit 10.31 to Danaher’s Annual Report on Form 10-K for the year ended December 31, 2020 and which is incorporated by reference herein. In connection with this appointment, the Board also determined that Mr. Sanders is independent within the meaning of the listing standards of the New York Stock Exchange and for purposes of Rule 10A-3(b)(1) under the Securities Exchange Act of 1934, as amended (“Securities Exchange Act”), and also qualifies as an audit committee financial expert as defined in Item 407(d)(5) of Regulation S-K under the Securities Exchange Act.
There is no arrangement or understanding between Mr. Sanders and any other person pursuant to which he was selected as a director of Danaher. There are no transactions in which Mr. Sanders has an interest requiring disclosure under Item 404(a) of Regulation S-K.
