New Executive Officer

Effective May 6, 2021, we have elevated the position held by Todd Inman as our Chief Technology Officer, to an executive officer position.

Mr. Inman, age 66, has been employed by the Company since January 1, 2019. Prior to joining the Company, from 2011 through June 2016, Mr. Inman was Director of Data Solutions at Change HealthCare. From July 2016 through December 2017, he was Founder and Managing Partner of Data Solutions Partners and from May 2017 through 2018, he was Chief Technology Officer of Meghadata.

Mr. Inman does not hold and has not held over the past five years any other directorships in any company with a class of securities registered pursuant to Section 12 of the Exchange Act or subject to the requirements of Section 15(d) of the Exchange Act or any company registered as an investment company under the Investment Company Act of 1940.

There are no family relationships between Mr. Inman and any of our directors or executive officers.

Aside from the following, Mr. Inman has not had any material direct or indirect interest in any of our transactions or proposed transactions over the last two years.

Mr. Inman does not have an employment agreement, but receives a salary of $201,600 per year and has an option to purchase 10,000 shares of our common stock with an exercise price of $10.98, originally granted on February 3, 2020. The option is subject to vesting, with half of the shares vesting on February 3, 2022 and the remainder on February 3, 2023.
