EXPLANATORY NOTE

 

On February 22, 2017, the Board of Directors (the “Board”) of Cogent Communications Holdings, Inc. (the “Company”) approved the Cogent Communications Holdings, Inc. 2017 Incentive Award Plan (as amended, the “Plan”), and on May 3, 2017, stockholders voted to approve the Plan. On May 3, 2017, the Company filed a Registration Statement on Form S-8 (File No. 333-217608) (the “Initial Registration Statement”) to register 1,200,000 shares of Common Stock to be offered or sold to participants under the Plan, and on May 1, 2019 the Company filed a Registration Statement on Form S-8 (File No. 333-231145) (the “Prior Registration Statement”) to register an additional 1,200,000 shares of Common Stock to be offered or sold to participants under the Plan. The contents of the Initial Registration Statement and Prior Registration Statement are incorporated by reference herein to the extent not modified or superseded hereby or by any subsequently filed document that is incorporated by reference herein or therein.

 

On February 24, 2021, the Board approved, subject to stockholder approval, an amendment and restatement of the Plan (the “Amendment”) to increase the number of shares of Common Stock authorized for issuance under the plan by 1,200,000 shares, as well the removal of certain provisions that are no longer applicable due to amendments to Section 162(m) of the Internal Revenue Code. This Registration Statement on Form S-8 is being filed in order to register the 1,200,000 additional shares of Common Stock that may be offered or sold to participants under the Plan as a result of the Amendment.
