Item 2.02 Results of Operations and Financial Condition.

On May 4, 2021, Louisiana-Pacific Corporation ("the Company") issued a press release announcing financial results for the three months ended March 31, 2021 a copy of which is attached hereto as Exhibit 99.1 and incorporated herein by reference.

Item 8.01 Other Events.

On May 4, 2021, the Company announced that its Board of Directors authorized an additional share repurchase plan under which the Company may repurchase shares of its common stock totaling up to $1 billion. Repurchases of such shares may be effected, among other things, in open market transactions, privately negotiated transactions or through a series of forward purchase agreements, option contracts or similar agreements and contracts, including a Rule 10b5-1 plan, in accordance with the rules and regulations of the SEC. The timing and amount of repurchase transactions is subject to the Company’s discretion and will depend on a variety of factors, including market and business conditions and other considerations.
