 Stockholder Meeting Notice The Annual Meeting of Stockholders of Generac Holdings Inc. will be held at 9:00 a.m., local time, on June 17, 2021 at Generac corporate headquarters, S45 W29290 Highway 59, Waukesha, Wisconsin 53189. Proposals to be voted on at the meeting are listed below along with the Board of Directors’ recommendations. The Board of Directors recommends a vote FOR all nominees listed in Proposal 1 below and a vote FOR Proposals 2 and 3 respectively: Election of Class III directors: Robert D. Dixon, David A. Ramon, William D. Jenkins, Jr. and Kathryn V. Roedel. Proposal to ratify the selection of Deloitte & Touche LLP as our independent registered public accounting firm for the year ending December 31, 2021.
