I am writing to share exciting news with you. VEREIT has entered into a definitive agreement to merge with Realty Income, which will create a $50 billion real estate enterprise with the ability to capture tremendous future growth opportunities. The strategic combination of two highly complementary companies results in increased size, scale, and diversification. The combined portfolio will amount to approximately 10,300 primarily single-tenant, net lease commercial real estate properties located in 50 U.S. states, Puerto Rico and the United Kingdom.

By joining forces with Realty Income, we are creating an even stronger company that is poised to benefit from increased scale. This will enable us to offer our tenants even greater options when it comes to advancing their real estate objectives. Importantly, this merger reflects our conviction in our platform and advances our strategy to acquire high-quality, single-tenant net lease retail and industrial assets leased to clients that are leaders in their respective businesses.

We expect the transaction to close during the fourth quarter of 2021, subject to certain closing conditions. Until then, it remains business as usual with Realty Income and VEREIT continuing to operate as separate and distinct companies. We expect a smooth integration process with no interruption to our day-to-day operations.

It’s important to note that today’s news in no way affects our commercial relationship. All invoicing protocols and payment terms remain the same.
