Message from JM to all Dealer Principals, GMs, Sales Leadership

Dealer Leaders –

Following the Herman Miller + Knoll announcement, we have received feedback that in some marketplaces there are plans underway to more broadly communicate the details of the transaction to other stakeholders, including customers and members of the A+D community.

As I mentioned on our call last Monday, we are in the very early stages of this transaction and there are many things still to be decided. It is very important that you comply with the financial and regulatory requirements associated with combining two publicly traded companies, and that you do not communicate with stakeholders beyond the formal corporate communications that have already been issued. As a reminder, you can find these materials at this link.

As we have more information to share, we will provide it to you and all our stakeholders.

In the meantime, it is imperative that you and your teams follow approved corporate messaging without exception and reinforcing that there will be no disruption relative to the service(s) we provide customers. We are providing more detail on the “do’s and don’ts” (see attached Toolkit) about how to speak about the acquisition prior to the shareholder vote.

Additionally, written communications about this agreement may require specific legal statements/disclaimers – like the ones at the end of this document. Note that the approved written communications that have been distributed from Herman Miller all have the required legal statements included at the end of the message. Please do not remove or alter those legal statements in any way.

Please remember, until the deal closes, it is business as usual for both Herman Miller and Knoll. We will continue to operate as independent companies. That means both Herman Miller and Knoll products will continue to be sold by their existing teams now and through the transaction closing.  We have been informed by Knoll that they are providing instructions to their dealers as well.
