ITEM 8.01    OTHER EVENTS.

On April 27, 2021, Comerica Incorporated (“Comerica”) entered into an accelerated share repurchase (“ASR”) agreement to repurchase $400 million of Comerica's common stock.

Under the terms of the ASR agreement, Comerica will receive an initial delivery of common shares representing approximately 80% of the expected total to be repurchased. Subject to certain adjustments pursuant to the ASR agreement, the final number of shares repurchased and delivered under the ASR agreement will be based on the volume weighted average share price of Comerica's common stock during the term of the transaction, which is expected to be completed in the second quarter of 2021.

The ASR is in furtherance of Comerica’s previously announced plan to target a common equity Tier 1 capital ratio of approximately 10 percent with continued active capital management, and within the remaining number of shares of Comerica’s common stock authorized under the Board of Directors’ prior authorizations for Comerica’s share repurchase program.
