Item 2.02. Results of Operations and Financial Condition.
 
On April 27, 2021, Crocs, Inc. (the “Company”) issued a press release reporting its results of operations for the three months ended March 31, 2021. A copy of the press release is furnished as Exhibit 99.1 to this report.

Item 8.01. Other Events.

On April 23, 2021, the Company’s Board of Directors increased the Company’s existing common stock repurchase authorization by approximately $712 million to $1.0 billion. The number, price, structure, and timing of the repurchases, if any, will be at the Company’s sole discretion and future repurchases will be evaluated by the Company depending on market conditions, liquidity needs, and other factors. The Board may suspend, modify or terminate the repurchase program at any time without prior notice.
