ITEM 8.01OTHER EVENTS
On April 22, 2021, Independent Bank Corp., a Massachusetts corporation (“Independent”) (NASDAQ Global Select Market: INDB) and Meridian Bancorp, Inc., a Maryland corporation (“Meridian”) (NASDAQ Global Select Market: EBSB) issued a joint press release announcing the execution of an Agreement and Plan of Merger (the “Merger Agreement”), dated April 22, 2021, pursuant to which, subject to the terms and conditions set forth therein, Independent will acquire Meridian and Rockland Trust Company, a Massachusetts-chartered trust company and wholly-owned subsidiary of Independent, will acquire East Boston Savings Bank, a Massachusetts-chartered savings bank and wholly-owned subsidiary of Meridian. A copy of the joint press release issued by Independent and Meridian announcing the transaction ("the Press Release") is attached as Exhibit 99.1 and is incorporated by reference.

In addition, Independent is furnishing supplemental presentation materials used in connection with a conference call held to discuss the transaction with analysts and investors. The presentation material are included as Exhibit 99.2 and is incorporated by reference.
