Item 8.01. Other Events.

 

On April 21, 2021, Romeo Power, Inc. (the “Company”) announced that it has established June 15, 2021 as the date for its 2021 annual meeting of stockholders (the “2021 Annual Meeting”). The 2021 Annual Meeting will be the Company’s first annual meeting of stockholders.

 

Any stockholder seeking to bring business before the 2021 Annual Meeting must provide timely notice as set forth in the Company’s Amended and Restated Bylaws (the “Bylaws”), and any notice of proposed business or nomination must comply with the specific requirements set forth in the Bylaws. For the 2021 Annual Meeting, stockholders must submit written notice to the Company in accordance with the Bylaws no later than the close of business on May 1, 2021.
