Item 2.02 Results of Operations and Financial Condition.

On April 14, 2021, Pioneer Power Solutions, Inc. (the “Company”) announced that the backlog of orders at the Company’s Transmission & Distribution Solutions business segment increased approximately 34% from $7.6 million at March 31, 2020 compared to $10.2 million at March 31, 2021.

Item 7.01 Regulation FD Disclosure.

On April 14, 2021, the Company issued a press release announcing that it is increasing its product footprint with one of the world’s largest mass-market retailers with a new equipment order valued at approximately $1.1 million. A copy of this press release is furnished as Exhibit 99.1 hereto and is incorporated herein by reference.
