ITEM 8.01    RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On March 30, 2021, Kennedy-Wilson Holdings, Inc. (the “Company”) completed the sale of Friars Bridge Court, a wholly-owned office building located in the United Kingdom. The Company sold the building for a total sales price of approximately $187.3 million after negotiating a termination of an existing lease and agreeing to a new long-term lease with a new tenant to occupy the entire building. The transaction generated cash to the Company of approximately $101.1 million (after debt repayment and associated deal costs) and a gain on sale, which will be recognized by the Company in its first quarter 2021 financial results. This transaction, including the recognized gain, will be further discussed in the Company’s quarterly report for the quarter ended March 31, 2021.
