Explanation of Responses:
1. Common stock acquired upon vesting of Restricted Stock Units ("RSUs") granted on March 28, 2019.
2. Common stock acquired upon vesting of RSUs granted on March 28, 2020.
3. These shares are owned by the reporting person's spouse. Mr. Mason disclaims beneficial ownership of these shares except to the extent of any pecuniary interest he may have therein.
4. Each RSU represents a contingent right to receive one share of HomeStreet common stock. RSUs do not require the holder to pay any consideration on vesting.
5. On March 28, 2019, the reporting person was granted 9,921 RSUs, which vest incrementally in equal amounts on March 28, 2020, March 28, 2021, and March 28, 2022, respectively. In the event of a change in control, all unvested RSUs may vest immediately under certain circumstances. Upon vesting, the reporting person will receive a number of shares of HomeStreet common stock equal to the number of RSUs that vest on that date.
6. On March 28, 2020, the reporting person was granted 12,273 RSUs, which vest incrementally in equal amounts on March 28, 2021, March 28, 2022, and March 28, 2023, respectively. In the event of a change in control, all unvested RSUs may vest immediately under certain circumstances. Upon vesting, the reporting person will receive a number of shares of HomeStreet common stock equal to the number of RSUs that vest on that date.
7. The reporting person's remaining RSUs includes 3,307 RSUs granted on March 28 2019, which vest on March 28, 2022; 8,182 RSUs granted on March 28, 2020, which vest incrementally in equal amounts on March 28, 2022 and March 28, 2023, respectively, and 11,595 RSUs granted on January 1, 2021, which vest incrementally in equal amounts on January 1, 2022, January 1, 2023 and January 1, 2024, respectively. In the event of a change in control, all unvested RSUs may vest immediately under certain circumstances. Upon vesting, the reporting person will receive a number of shares of HomeStreet common stock equal to the number of RSUs that vest on that date.
