Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 21, 2021, Loren M. Leiker informed the Company of his decision to retire as a member of the Board of Directors (the “Board”) of SM Energy Company (the “Company”) effective upon the adjournment of the Company’s next annual meeting of stockholders, currently scheduled for May 27, 2021. Mr. Leiker informed the Company that his retirement from the Board is solely due to family medical reasons and is not a result of any disagreement with the Company on any matter relating to its operations, policies or practices. The Company thanks Mr. Leiker for his valuable contributions in growing and strengthening the Company during his time on the Board.
