Item 7.01

Regulation FD Disclosure.

Lions Gate Entertainment Corp. (the “Company”) today announced that its wholly owned subsidiary, Lions Gate Capital Holdings LLC (“LGCH”), intends to offer up to $1.0 billion in aggregate principal amount of senior notes (the “notes”) in a private placement (the “Offering”) pursuant to exemptions from the registration requirements of the Securities Act of 1933, as amended (the “Securities Act”), subject to market and other conditions. LGCH intends to use the net proceeds from the Offering, together with cash on hand, (i) to redeem LGCH’s 6.375% Senior Notes due 2024 and LGCH’s 5.875% Senior Notes due 2024 and (ii) to pay fees and expenses related to the offering of the notes. In connection with the Offering, the Company disclosed certain information to prospective investors in a preliminary offering memorandum dated March 23, 2021. The Company is disclosing under this Item 7.01 certain information disclosed in the preliminary offering memorandum that supplements or updates certain prior disclosures of the Company, which information is included in Exhibit 99.1 and is incorporated into this Item 7.01 by reference.
