Item 8.01 Other Events.
On March 22, 2021, JetBlue Airways Corporation (the “Company”) issued a press release announcing that it has commenced a private offering of $650 million aggregate principal amount (plus an additional $100 million to be subject to an option to purchase additional notes) of convertible senior notes due 2026 (the “Notes”) in a private placement offering to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”).
A copy of the press release is filed herewith as Exhibit 99.1 and is incorporated herein by reference.
