Item 8.01 - Other Events

Redemption of Bancorp Senior Notes. On March 18, 2021, Fifth Third Bancorp (the “Company”) delivered a redemption notice to Wilmington Trust Company, as trustee (the “Trustee”), for all of the Company’s outstanding Floating Rate Senior Notes due 2021 (CUSIP No. 316773CW8), originally issued on June 5, 2018 (the “2018 Bancorp Notes”), at a cash redemption price (the “2018 Bancorp Notes Redemption Price”) to be calculated as provided in the 2018 Bancorp Notes, equal to the $250 million principal amount of the outstanding 2018 Bancorp Notes plus accrued and unpaid interest, if any, to the redemption date of May 5, 2021 (the “2018 Bancorp Notes Redemption Date”). Pursuant to the terms and conditions of the 2018 Bancorp Notes, the Company will redeem the 2018 Bancorp Notes 30 days prior to their scheduled maturity date of June 4, 2021. Upon completion of the redemption, no 2018 Bancorp Notes will remain outstanding.

Payment of the 2018 Bancorp Notes Redemption Price will be made on the 2018 Bancorp Notes Redemption Date only upon presentation and surrender of the 2018 Bancorp Notes to the Trustee. Interest on the 2018 Bancorp Notes called for redemption will cease to accrue on and after the 2018 Bancorp Notes Redemption Date. Notice of redemption will be sent to the registered holders of the 2018 Bancorp Notes.

Redemption of Bank Senior Notes. On March 18, 2021, the Company’s subsidiary, Fifth Third Bank, National Association (the “Bank”) delivered a redemption notice to Bank of New York Mellon Trust Company, N.A., as issuing and paying agent (the “Agent”), for all of the Bank’s outstanding 2.250% Senior Notes due June 14, 2021 (CUSIP No. 31677QBG3), originally issued on June 14, 2016 (the “2016 Bank Notes”), at a cash redemption price (the “2016 Bank Notes Redemption Price”) to be calculated as provided in the 2016 Bank Notes, equal to the $1.25 billion principal amount of the outstanding 2016 Bank Notes plus accrued and unpaid interest, if any, to the redemption date of May 15, 2021 (the “2016 Bank Notes Redemption Date”). Pursuant to the terms and conditions of the 2016 Bank Notes, the Company will redeem the 2016 Bank Notes 30 days prior to their scheduled maturity date of June 14, 2021. Upon completion of the redemption, no 2016 Bank Notes will remain outstanding.

Payment of the 2016 Bank Notes Redemption Price will be made on or after the first business day after the 2016 Bank Notes Redemption Date only upon presentation and surrender of the 2016 Bank Notes to the Agent. Interest on the 2016 Bank Notes called for redemption will cease to accrue on and after the 2016 Bank Notes Redemption Date. Notice of redemption will be sent to the registered holders of the 2016 Bank Notes.
