Item 8.01 Other Events

On March 17, 2021, NextEra Energy Capital Holdings, Inc., a wholly-owned subsidiary of NextEra Energy, Inc. (NEE), sold $2.0 billion principal amount of its 0.65% Debentures, Series due March 1, 2023 (Fixed Rate Debentures) and $500 million of its Floating Rate Debentures, Series due March 1, 2023 (Floating Rate Debentures, and together with the Fixed Rate Debentures, Debentures), which are guaranteed by NEE. The Floating Rate Debentures will bear interest at a rate equal to Compounded SOFR (a compounded Secured Overnight Financing Rate as specified therein) plus 0.54%. The Debentures were registered under the Securities Act of 1933 pursuant to Registration Statement Nos. 333-226056, 333-226056-01 and 333-226056-02. This Current Report on Form 8-K is being filed to report as exhibits certain documents in connection with the sale of the Debentures.
