Item 1.01. Entry into a Material Definitive Agreement

 

On March 15, 2021, WhiteHorse Finance, Inc. (the “Company”) entered into an equity distribution agreement (the “Equity Distribution Agreement”) with H.I.G. WhiteHorse Advisers, LLC, H.I.G. WhiteHorse Administration, LLC and Raymond James & Associates, Inc., as the sales agent (the “Sales Agent”), in connection with the sale of shares of the Company’s common stock, par value $0.001 per share (the “Common Stock”), with an aggregate offering price of up to $35 million. The Equity Distribution Agreement provides that the Company may offer and sell shares of the Common Stock from time to time through the Sales Agent in amounts and at times to be determined by the Company (the “Offering”). Actual sales will depend on a variety of factors to be determined by the Company from time to time, including, market conditions and the trading price of the Common Stock. The Company expects to use all or substantially all of the net proceeds from the Offering to invest in portfolio companies in accordance with its investment objective and strategies and for general corporate purposes.

 

Any shares of Common Stock offered and sold in the Offering will be sold pursuant to a prospectus supplement dated March 15, 2021 (the “Prospectus Supplement”) to the Company’s registration statement on Form N-2 (File No. 333-231247) declared effective by the U.S. Securities and Exchange Commission on June 5, 2019 (such registration statement as of its effective date, including the exhibits thereto and the documents incorporated by reference therein, are hereinafter referred to as the “Registration Statement”) and the base prospectus dated June 11, 2019 (the “Base Prospectus”) relating to the Offering that forms a part of the Registration Statement.

 

Sales of the Common Stock, if any, under the Prospectus Supplement and the Base Prospectus may be made in negotiated transactions or transactions that are deemed to be “at the market,” as defined in Rule 415 under the Securities Act of 1933, as amended, including sales made directly on The Nasdaq Global Select Market or any similar securities exchange or sales made to or through a market maker other than on a securities exchange, at prices related to the prevailing market prices or at negotiated prices. Under the terms of the Equity Distribution Agreement, the Sales Agent will receive a commission from the Company of up to 2.0% of the gross sales price of any shares of the Common Stock sold through the Sales Agent under the Equity Distribution Agreement. The Equity Distribution Agreement contains customary representations, warranties and agreements of the Company, indemnification rights and other obligations of the parties and termination provisions.

 

The foregoing description of the Equity Distribution Agreement is not complete and is qualified in its entirety by reference to the full text of the Equity Distribution Agreement, which is attached hereto as Exhibit 1.1 and is incorporated herein by reference.

On March 15, 2021, Dechert LLP delivered its legality opinion with respect to the Common Stock to be sold pursuant to the Prospectus Supplement, which is attached hereto as Exhibit 5.1.
