Subj: A Message from Chuck Gordon: New Mountain Acquisition Update

 

Aegion Colleagues:

 

This morning we announced that Aegion has entered into an amended agreement with New Mountain Capital to increase the cash consideration payable to Aegion stockholders to $27.00 per share from $26.00 per share. The revised transaction price represents a total enterprise value of $995 million. The press release we issued is attached.

 

The amendment, which was unanimously approved by Aegion’s Board of Directors, was negotiated following the receipt of an unsolicited non-binding proposal from a third party. Aegion’s Board of Directors, in consultation with independent legal and financial advisors, determined that the alternative third-party proposal was not and could not reasonably be expected to lead to a superior proposal to the amended agreement with New Mountain. This evaluation considered multiple factors, including price to stockholders as well as other other risks to a successful and timely transaction close, including completion of required diligence, legal and financial reviews, antitrust review and other customary regulatory approvals, certainty of financing and other aspects.

 

The transaction with New Mountain remains subject to Aegion stockholder approval, regulatory approvals and other customary closing conditions and we continue to expect it to be completed in the second quarter of 2021. Until then, Aegion will remain an independent, publicly-traded company.

 

It is likely this announcement may lead to increased media coverage and interest in our company. Please know that, as a public company, this type of activity is not uncommon or unique to Aegion. Most importantly, today’s announcement has no impact on our day-to-day business operations and it should remain business as usual for all of us.
