Item 8.01 Other Events.

Private Exchange Offers of Certain Outstanding Notes for New Notes

In a press release issued on March 15, 2021, Broadcom Inc. (“Broadcom”) announced the commencement of exchange offers (the “Exchange Offers”) with respect to certain series of its outstanding notes maturing between 2024 and 2027 for new series of senior notes maturing in 2033 and 2034 (the “Exchange Notes”), subject to market conditions and other factors.

The foregoing description is qualified in its entirety by reference to the press release dated March 15, 2021, a copy of which is attached hereto as Exhibit 99.1.

The Exchange Notes are being sold in private placements to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and to non-U.S. persons outside the United States under Regulation S under the Securities Act.
