On March 15, 2021, Registrant issued a press release announcing financial results for the three and twelve months ended December 31, 2020 and 2019. The press release is furnished as Exhibit 99.1, its Quarterly Investor Presentation is attached as Exhibit 99.2.

Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 10, 2021, Paul Hong and Nam Trinh notified the Board of Pangaea Logistics Solutions Ltd. (the “Company”) of their decisions to resign, effective immediately, from their positions as members of the Board. Mr. Hong and Mr. Trinh's resignations did not result from any disagreements with management or the Board.
